1. Introduction 

These Terms of Use ("Terms”) govern the access to and use of the digital marketplace platform p2p.coffee ("Platform”), operated by Peer to Peer Coffee GmbH, Grünbergerstr. 140, 35394 Giessen, Germany ("Company”, "we”, "us”, "our”). By creating an account, accessing the Platform, or using any of its services, you ("User”, "you”) agree to be legally bound by these Terms, the Privacy Policy, the Identity Verification Policy, and supplemental agreements. 

2. Platform Purpose 

p2p.coffee is a professional B2B marketplace facilitating digital trade of green coffee, roasted coffee, coffee derivatives, services, and related documentation. The Platform connects producers, exporters, importers, roasters, traders, and service providers, enabling negotiation and documentation exchange. The Platform does not act as a broker, does not take ownership of goods, and does not guarantee transaction results. 

3. Eligibility 

To use the Platform, you must be a legally registered business or authorized representative, be at least 18 years old, have legal capacity, complete identity verification, and comply with all applicable trade and legal regulations. 

4. Account Registration 

Users must provide accurate company and personal information. Users are responsible for their login credentials and all activity under their account. 

5. Identity Verification 

All Users must comply with the Identity Verification Policy, including company documentation, government ID checks, sanctions screening, and authorization verification. 

6. Use of the Platform 

Users agree to use the Platform only for legitimate B2B commercial purposes and must refrain from illegal, fraudulent, abusive, or deceptive conduct. Automated scraping, misrepresentation, or bypassing Platform systems is prohibited. 

7. Marketplace Conduct & Transactions 

The Company is not a party to transactions between Users. All contracts—including pricing, logistics, and quality agreements—are formed directly between Users, who bear full responsibility for their obligations. The Company is not liable for product quality, legality, delivery, or disputes. 

8. Fees & Payments 

Some features may require paid subscriptions or transaction fees. Users will be notified in advance of pricing. Fees are non-refundable unless required by law. Optional financial services may be offered through third parties. 

9. Intellectual Property 

All Platform software, design, branding, and content are owned by Peer to Peer Coffee GmbH. Users may not reproduce or alter Platform materials. Users retain ownership of content they upload but grant the Company a license for Platform operation. 

10. Data Protection & Privacy 

Personal and business data are processed under GDPR, German law, and the Platform Privacy Policy. Users consent to data collection for verification, compliance, security, and operational purposes. 

11. Prohibited Activities 

Prohibited activities include fraud, money laundering, violations of sanctions, sale of illegal goods, harassment, data scraping, and manipulation of market prices. 

12. Suspension & Termination 

We may suspend or terminate accounts for violations, legal risks, inaccurate information, or compliance concerns. Users may request account termination unless restricted by ongoing compliance obligations. 

13. Disclaimer of Warranties 

The Platform is provided "as is” and "as available.” We do not guarantee uninterrupted service, accuracy of user-provided information, or successful completion of transactions. 

14. Limitation of Liability 

To the fullest extent allowed by law, the Company is not liable for direct or indirect damages arising from Platform use. Liability is capped at the fees paid by the User in the last 12 months, except where prohibited by law. 

15. Indemnification 

Users agree to indemnify and hold harmless Peer to Peer Coffee GmbH from claims arising from misuse, violations, illegal conduct, or disputes with other Users. 

16. Amendments 

We may update these Terms at any time. Continued use after updates constitutes acceptance of revisions. 

17. Governing Law and Jurisdiction 

These Terms are governed by German law. Exclusive jurisdiction is Giessen, Germany.
